1. Acceptance of Terms

By accessing or using FileXtractor ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

These Terms apply to all users of the Service, including but not limited to users who are browsers, vendors, customers, merchants, and/or contributors of content.

2. Description of Service

FileXtractor is an AI-powered file extraction service that uses advanced optical character recognition (OCR) and machine learning technologies to extract structured data from various file formats including PDFs, images, Word documents, spreadsheets, and text files.

The Service allows you to:

• Define custom extraction schemas without training or setup
• Upload files or provide publicly accessible URLs for processing
• Extract text, tables, and visual elements from documents
• Receive structured data in JSON format based on your defined schemas
• Access extraction results through our web interface or API

3. Account Registration

To use the Service, you must create an account by providing:

• A valid email address
• A secure password (minimum 8 characters with a mix of letters and numbers)
• Your company name

You agree to:

• Provide accurate, current, and complete information during registration
• Verify your email address before using the Service
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

4. Credit System and Pricing

4.1 Credit-Based System

The Service operates on a credit-based, pay-as-you-go model. Each document extraction consumes credits based on file size and page count:

• 1 credit = 1 document extraction for files up to 5MB and 5 pages
• Additional credits are required: +1 credit per 5MB or 5 pages (whichever requires more)

4.2 Credit Purchase Terms

• Minimum Purchase: 100 credits
• Purchase Increments: Credits must be purchased in multiples of 100
• No Expiration: Credits never expire
• Non-Refundable: All credit purchases are final and non-refundable
• Non-Transferable: Credits cannot be transferred between accounts

4.3 Pricing Structure

Launch Period Pricing (Until March 31, 2026):

• All credits: $0.03 per credit (57% discount from standard pricing)

Standard Pricing (After March 31, 2026):

• Standard Tier (100-999 credits): $0.07 per credit
• Bulk Tier (1,000+ credits): $0.04 per credit (43% discount)

We reserve the right to modify pricing with 30 days' notice to users. Price changes will not affect credits already purchased.

5. File Upload and Processing

5.1 File Restrictions

• Maximum file size: 50MB per file
• Supported formats: PDF, PNG, JPG, JPEG, DOCX, XLSX, XLS, TXT
• Files can be uploaded directly or provided via publicly accessible URL

5.2 Content Restrictions

You agree not to upload or process files that:

• Contain malware, viruses, or malicious code
• Violate any intellectual property rights of third parties
• Contain illegal content under applicable laws
• Contain child sexual abuse material (CSAM)
• Violate privacy rights or data protection laws
• Are used to harass, abuse, or harm others
• Are used for any unlawful purpose

5.3 Processing Accuracy

While we advertise 98.7% OCR accuracy, extraction results may vary based on file quality, format, and complexity. We do not guarantee:

• 100% accuracy of extracted data
• Successful processing of all file types
• Specific processing times or completion deadlines
• Availability of the Service at all times

6. API Access and Tokens

Users may generate API tokens to access the Service programmatically. You agree to:

• Keep API tokens confidential and secure
• Not share API tokens with unauthorized parties
• Revoke compromised tokens immediately
• Accept responsibility for all API usage under your tokens
• Comply with any rate limits or usage restrictions we implement

We reserve the right to revoke API access or limit usage if we detect abuse, security concerns, or violations of these Terms.

7. Intellectual Property Rights

7.1 Your Content

You retain all ownership rights to the files you upload and the data extracted from them. By using the Service, you grant us a limited license to:

• Process your files to provide extraction services
• Store your files and extraction results as necessary to provide the Service
• Use aggregated, anonymized data for service improvement

7.2 Our Service

The Service, including all software, algorithms, designs, trademarks, and content, is owned by FileXtractor and protected by intellectual property laws. You may not:

• Copy, modify, or reverse engineer any part of the Service
• Remove or modify any proprietary notices
• Use the Service to develop competing products
• Scrape or systematically extract data from the Service

8. User Responsibilities and Prohibited Uses

You agree not to:

• Use the Service for any illegal purpose
• Violate any laws or regulations in your jurisdiction
• Infringe upon the rights of others
• Transmit spam, viruses, or harmful code
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the Service or servers
• Use automated systems to access the Service without permission
• Resell or redistribute the Service without authorization
• Impersonate others or misrepresent your affiliation
• Collect or store personal data of other users

9. Payment Processing

Credit purchases are processed through Stripe, a third-party payment processor. By making a purchase, you agree to Stripe's terms of service. We do not store your full credit card information.

You are responsible for:

• Providing accurate payment information
• Maintaining sufficient funds for purchases
• All charges incurred under your account
• Any taxes applicable to your purchases

10. Service Availability and Modifications

We strive to maintain Service availability but do not guarantee uninterrupted access. We reserve the right to:

• Modify, suspend, or discontinue the Service at any time
• Perform maintenance that may temporarily limit access
• Change features, functionality, or pricing with notice
• Impose usage limits or restrictions

We will provide reasonable notice for significant changes when possible but are not obligated to do so for minor updates or emergency maintenance.

11. Account Termination

11.1 Termination by You

You may request account deletion at any time. Upon deletion:

• Your account and associated data will be permanently deleted
• Any remaining credits will be forfeited without refund
• You will lose access to all extraction history and results

11.2 Termination by Us

We may suspend or terminate your account if you:

• Violate these Terms of Service
• Engage in fraudulent or illegal activity
• Abuse the Service or harm other users
• Fail to pay amounts owed
• Create security or legal risks

Termination for Terms violations will result in forfeiture of remaining credits without refund.

12. Disclaimers and Limitation of Liability

12.1 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12.2 No Guarantee of Accuracy

We do not warrant that the Service will meet your requirements, be error-free, secure, or that extraction results will be accurate or complete. You are solely responsible for verifying extracted data before use.

12.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FILEXTRACTOR SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, or goodwill
• Service interruptions or data loss
• Inaccurate extraction results or failed processing
• Unauthorized access to your account or data
• Third-party conduct or content

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR CREDITS IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless FileXtractor and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of third parties
• Files or content you upload to the Service
• Your negligence or misconduct

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United States and the state in which FileXtractor is registered, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved through:

• Good faith negotiation between the parties
• If negotiation fails, binding arbitration in accordance with the American Arbitration Association rules
• Arbitration shall be conducted in English in the United States
• Each party shall bear its own costs and fees

You waive the right to participate in class action lawsuits or class-wide arbitration.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via:

• Email notification to your registered email address
• Prominent notice on the Service
• Updated "Last Updated" date at the top of this page

Continued use of the Service after changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must discontinue using the Service.

16. Miscellaneous

16.1 Entire Agreement

These Terms constitute the entire agreement between you and FileXtractor regarding the Service and supersede all prior agreements.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

16.3 No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms to any affiliate or successor.

16.5 Force Majeure

We shall not be liable for any failure to perform due to circumstances beyond our reasonable control.
